1. Definitions
1.1 “Company” means Sellio Collective LLC, a Wyoming limited-liability company doing business as Sellio.
1.2 “Service” means the software, APIs, website (sellio.ai), and related functionality provided by Company.
1.3 “User” means any person or entity accessing or using the Service.
1.4 “Content” means text, images, audio, video, code, data or other materials uploaded, posted or transmitted by User.
1.5 “Account” means a User’s registered profile with credentials allowing access to the Service.
2. License Grant
Company grants User a limited, revocable, non-exclusive license to access and use the Service in accordance with these terms.
3. Compliance
User must comply with all applicable laws, export controls, and sanctions regulations.
4. Intellectual Property
All software, APIs, documentation, Content (unless licensed by User), trademarks, and trade dress remain sole property of Company. User acquires no ownership rights.
5. Prohibited Conduct
User may not reverse-engineer, decompile, disassemble, scrape, or otherwise extract data from the Service. Unauthorized use, distribution, or modification is prohibited.
6. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTIBILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. NO PROFESSIONAL ADVICE IS PROVIDED.
7. Limitation of Liability
7.1 UNDER NO CIRCUMSTANCES WILL COMPANY’S AGGREGATE LIABILITY EXCEED THE GREATER OF (A) FEES PAID BY USER IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) $1,000.
7.2 IN NO EVENT WILL COMPANY BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES.
8. Indemnification
User will defend, indemnify, and hold harmless Company and its officers, directors, employees, and agents from any third-party claims arising from User’s misuse of the Service or breach of these terms.
9. Modifications; Suspension
Company may modify or suspend the Service at any time without notice. Continued use constitutes acceptance of changes.
10. Governing Law; Dispute Resolution
10.1 These terms are governed by California law, without regard to conflict-of-law rules.
10.2 Venue for disputes is San Diego County, California.
10.3 User and Company waive any right to jury trial and agree to binding arbitration under American Arbitration Association rules.
11. Miscellaneous
11.1 Severability: If any provision is invalid, the remainder stays in effect.
11.2 Entire Agreement: These terms, together with any policies or addenda, constitute the entire agreement.
11.3 Assignment: User may not assign these terms without Company’s prior written consent.
